These Terms & Conditions ("Terms") govern the relationship between Rudocode ("Company", "we", "our", "us") and you ("Client", "you", "your") when you engage our services, visit our website at rudocode.com, or enter into any project agreement with us.
By accessing our website, submitting an inquiry, signing a project proposal, or making any payment to Rudocode, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please refrain from using our services.
Rudocode is a technology services company registered and operating from Jabalpur, Madhya Pradesh, India. All services are subject to Indian law.

The scope, timeline, deliverables, and cost of each engagement are defined in a separate Project Proposal or Statement of Work (SoW) agreed upon by both parties prior to project commencement. In case of any conflict between these Terms and a signed SoW, the SoW shall prevail.
Some deliverables may require the use of third-party APIs, libraries, platforms, or cloud providers (e.g., AWS, Google Cloud, Firebase, Stripe, Razorpay). Your use of such third-party services is governed by their respective terms. Rudocode is not responsible for changes, outages, or pricing changes in third-party services.
To ensure smooth project delivery, the client agrees to:
Delays caused by client non-responsiveness, late approvals, or scope changes may result in project timeline extensions and/or additional costs. Rudocode will communicate any such impact proactively in writing.
Unless otherwise specified in the project agreement, our standard payment structure is:
For long-term retainer or maintenance engagements, payments are due on a monthly basis as agreed.
Invoices are issued via email and are due within 7 business days of receipt unless otherwise agreed in writing. Payments can be made via bank transfer (NEFT/RTGS/IMPS), UPI, or other modes agreed upon.
Payments delayed beyond the due date may incur a late fee of 1.5% per month on the outstanding balance. Rudocode reserves the right to pause active work until overdue invoices are cleared.
All prices are exclusive of applicable taxes. GST (Goods and Services Tax) will be charged as applicable under Indian tax law. International clients are responsible for any withholding taxes or duties applicable in their jurisdiction.
Upon receipt of full payment, Rudocode assigns all rights, title, and interest in the custom-developed deliverables to the client. This includes source code, designs, and documentation specifically created for the client's project.

Unless explicitly restricted in writing by the client, Rudocode reserves the right to showcase completed work in our portfolio, case studies, and marketing materials. We will exercise discretion with confidential business data.
The client represents and warrants that they have all necessary rights to any content, data, or materials provided to Rudocode, and grants Rudocode a limited license to use such materials solely for the purpose of delivering the agreed services.
Both parties agree to treat as confidential all non-public information shared during the engagement, including business strategies, technical architectures, pricing, user data, and proprietary processes.
Rudocode will not disclose your confidential information to any third party without your consent, except as required by law or with the involvement of trusted sub-contractors who are bound by equivalent confidentiality obligations.
A formal Non-Disclosure Agreement (NDA) can be executed upon request before project discussions begin.
To the maximum extent permitted by applicable law:
Rudocode warrants that services will be performed in a professional and workmanlike manner. We offer a 30-day bug-fix warranty post-delivery, covering defects directly caused by our implementation. This does not cover:
Except as expressly stated, all services are provided "as is." Rudocode makes no guarantees regarding specific business outcomes, revenue increases, app store approvals, or search engine rankings resulting from our work.
Either party may terminate the engagement under the following conditions:
Upon termination, Rudocode will deliver all completed work and related materials to the client upon receipt of all outstanding payments.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Jabalpur, Madhya Pradesh, India.
Before initiating legal proceedings, both parties agree to attempt good-faith resolution through direct negotiation for a period of 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996 of India.
Rudocode reserves the right to update these Terms at any time. Material changes will be communicated via email to active clients or posted on our website. Continued use of our services after any update constitutes acceptance of the revised Terms.
